Terms of Service

These Terms of Service (“Terms”) govern your use of the GarageGrowthLab website and services operated by Prism Digital Group (“we”, “our”, or “us”). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services Overview

GarageGrowthLab provides digital marketing services exclusively for auto repair shops, MOT centres, and automotive service businesses. Our services may include, but are not limited to:

  • Hyperlocal website design, development, and hosting
  • Search engine optimisation (SEO) and content creation
  • Generative Engine Optimisation (GEO)
  • Authority link building
  • Virtual receptionist services
  • AI chatbot setup and management
  • CRM dashboard and marketing automation
  • Review generation and management
  • PR and media placement

2. Service Agreements

2.1 Engagement

All service engagements are governed by a separate Service Agreement that outlines the specific scope of work, deliverables, timelines, and pricing. These Terms apply in addition to any Service Agreement. In the event of a conflict, the Service Agreement shall prevail.

2.2 Onboarding

Upon signing a Service Agreement, we will begin an onboarding process that typically includes gathering business information, access credentials, brand assets, and service details necessary to deliver our services effectively.

3. Fees and Payment

3.1 Setup Fees

Setup fees are one-time charges payable upon signing the Service Agreement. Setup fees are non-refundable once work has commenced, subject to our Refund & Cancellation Policy.

3.2 Monthly Fees

Monthly fees are billed in advance at the beginning of each calendar month. Payment is due within 7 days of the invoice date. We accept payment via credit/debit card and bank transfer.

3.3 Late Payments

Invoices unpaid after 14 days may result in suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 2% per month or the maximum permitted by law, whichever is lower.

3.4 Price Changes

We may adjust pricing with 60 days' written notice. Price changes will not apply to the current billing period. You may terminate your agreement if you do not agree to a price change.

4. Client Obligations

As a client, you agree to:

  • Provide accurate and complete information about your business
  • Respond to reasonable requests for information within 5 business days
  • Provide timely access to accounts, platforms, and assets necessary for service delivery
  • Not interfere with or modify work we are performing without prior consultation
  • Ensure you have the right to use any content, logos, or assets you provide to us
  • Comply with all applicable laws and regulations in your jurisdiction

5. Intellectual Property

5.1 Our IP

All proprietary tools, methodologies, templates, systems, and frameworks used in delivering our services remain the intellectual property of GarageGrowthLab and Prism Digital Group.

5.2 Client IP

Content we create specifically for your business (website copy, blog articles, custom graphics) becomes your property upon full payment. You grant us a licence to use such work in our portfolio and marketing materials unless you request otherwise in writing.

5.3 Third-Party Content

We may use stock images, fonts, and third-party tools under their respective licences. You agree not to extract, redistribute, or sublicence such third-party assets outside the scope of your website.

6. Website Ownership and Hosting

Websites we build for you are hosted on our infrastructure during the term of our agreement. Upon termination:

  • You retain ownership of all custom content and copy created for your website
  • We will provide an export of your website content and data within 30 days of termination
  • Our proprietary templates and code frameworks are not transferable and remain our property
  • Third-party integrations (chatbot, CRM, etc.) may require separate agreements with those providers

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care consistent with industry standards. We do not guarantee specific ranking positions, traffic volumes, or revenue outcomes, as these depend on numerous factors beyond our control.

7.2 Disclaimer

To the fullest extent permitted by law, our services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. See our Disclaimer page for further details.

8. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the 12 months immediately preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our engagement. This includes business strategies, financial data, customer lists, technical systems, and any information marked as confidential. This obligation survives termination of these Terms.

10. Termination

Either party may terminate the service agreement with 30 days' written notice. See our Refund & Cancellation Policy for details on refunds and the termination process.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, pandemics, government actions, internet disruptions, or third-party service provider failures.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. For US-based clients, disputes may alternatively be resolved in the state and federal courts located in the applicable US jurisdiction.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website at least 30 days before taking effect. Continued use of our services after changes constitutes acceptance.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
